Terms of Use
1. Agreement
These Terms of Use ("Terms") are an agreement between you and StayPutPDF ("we", "us") for your use of the StayPutPDF website, web app and installed app (together, the "Service"). By using the Service or buying a license you agree to these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it, and "you" includes that organization. You must be at least 18 years old, or the age of legal capacity where you live, to buy a license. If you do not agree, do not use the Service.
2. How the Service works
StayPutPDF is software that runs in your web browser. Files you open in it are processed on your own device and are not uploaded to, received by or stored on our servers. Because of this:
- we never have access to your files or their contents, and we cannot view, recover, restore or back up any file for you;
- you are solely responsible for keeping copies of your original files and of anything you create with the Service;
- very large files may exceed what your browser or device can handle; work in progress that is not downloaded can be lost if the page is closed, reloaded or crashes;
- the security of your files depends on your device, browser, browser extensions, network and the way you store and share files, none of which we control.
3. Data saved on your device
Some features let you save information so you don't have to enter it again — for example your saved signature, your details for one-click form filling (such as name, address, email, phone, company or date of birth), your license key, the free plan's page count and the list of tools you used recently. This information is stored only in your browser on that device. It is never sent to us, and we cannot see, recover or delete it for you.
Anyone who can use your device or browser profile may be able to see or use this information. You are responsible for protecting your device (for example with a password and up-to-date software) and for deleting saved information when you no longer want it there — in the app, or by clearing your browser's data for this site. Saved information can also disappear when browser data is cleared. We are not responsible if information saved on your device is lost, accessed, copied, used or leaked, including through malware, browser extensions, a shared or lost device, or an attack on your device.
4. Your responsibilities
You agree to use the Service only lawfully, in line with the laws that apply to you (including export and sanctions rules), and only with files you have the right to use. You are solely responsible for your files, their contents, and for how you use, store, send or publish the files you create. Prohibited uses include, but are not limited to, the following. You must not:
- use the Service for any illegal purpose or illegal content, including but not limited to child sexual abuse material, terrorism, fraud, money laundering or human trafficking, or to infringe anyone's rights, including privacy and intellectual property rights;
- use the Service to forge, falsify or alter documents or signatures without authorization;
- resell, sublicense or share a license key outside the people it covers, or try to bypass license checks or usage limits;
- copy, reverse-engineer or redistribute the Service's code or design;
- overload, attack or interfere with the Service or use it through automated means not intended by us.
Any misuse or abuse of the Service is solely your responsibility. StayPutPDF and its owners bear no financial, legal, intellectual-property, reputational, moral or any other liability for it or for its consequences. We may block or deactivate access and report illegal activity to the authorities where required.
5. Check your results
The Service is a tool. Results depend on your files, device and browser, and you must review every result before you rely on it, send it, file it or publish it. In particular:
- Redaction: automatic search may miss text (for example text inside images, handwriting or unusual fonts). You are responsible for checking that everything that must be hidden is hidden before sharing a file. Applying redaction turns every page with a box into an image, and removes the file's metadata, links, form fields, bookmarks and attachments from the whole file; with "Flatten every page" every page becomes an image and no text in the file can be selected, searched or copied any more. Automatic search for email addresses, phone numbers and long numbers may miss some and may mark text you did not mean to hide. If you need a certified or forensically verified redaction, use a professional service. The final check is yours. We bear no financial, reputational or other liability for anything that remains visible or in the file — including but not limited to text or other content that automatic search missed, that you did not mark, or that remained in the file or under a black box because of an error, bug, failure or interruption of the Service, your browser or device, or for any other reason, and regardless of who later finds, extracts or recovers it. This also applies if, for any technical or non-technical reason (including but not limited to a bug, error, crash, interruption or a browser or device problem), the Service only covered content with a black box instead of removing it, removed only part of it, or did not apply the redaction at all.
- Editing (white-out, shapes, text and images): everything you add in Edit PDF, including white-out boxes and shapes, is placed on top of the page. It does not delete or change the text, images or other content underneath, which stays in the file and can still be found, selected, copied or recovered. To remove information from a file, use Redact PDF and check the result. The final check is yours. We bear no financial, reputational or other liability for any information that remains in an edited file.
- OCR (text recognition): recognition is automatic and never perfect. It may miss, misread or mix up words, numbers, names and characters, and may not support or correctly detect some languages, scripts, handwriting, fonts, tables or low-quality scans. Recognized text may also be placed in the wrong position. The final check is yours. We bear no financial, reputational or other liability for any errors or omissions in recognized text or for decisions made based on it.
- Form filling and saved details: information may be placed in the wrong field or be out of date. Check every field before using a filled form. The final check is yours. We bear no financial, reputational or other liability for wrong, missing or outdated information in filled forms.
- Conversion, compression, splitting and merging: Compress PDF re-saves photos and scans at lower quality (this cannot be undone) and removes some file data such as metadata; keep your original. In all of these tools, pages, text, images, links, form fields, attachments or other content may be missing, duplicated, out of order or changed, layout, fonts and image quality may differ from the original, and the result may not be accepted by other software, printers or upload portals (for example court, government or tax systems). Check that the result is complete before using it. The final check is yours. We bear no financial, reputational or other liability for the completeness or accuracy of the result, for such differences, or for a file being rejected.
- Organize Pages: the tool saves a new file with only the pages you keep, in the order and rotation you set. Pages you remove are not included in the new file. Check that no page you need is missing and that the order and rotation are right before using it. The final check is yours. We bear no financial, reputational or other liability for missing, extra, misordered or wrongly rotated pages.
- PDF to Word: the tool rebuilds the text and pictures of a document in a simplified layout. Tables, columns, headers, footers, footnotes, fonts, links and other formatting may be lost or changed, text may be split, joined or placed in the wrong order, and scanned pages may be inserted as pictures. It is not an exact copy of the original. The final check is yours. We bear no financial, reputational or other liability for differences between the Word file and the original.
- PDF to JPG: images are pictures of the pages. Their text cannot be selected, searched or edited, and small text, lines or colours may look different from the original depending on the quality you choose. The final check is yours. We bear no financial, reputational or other liability for the quality or legibility of the images.
- Extract Text: the tool copies the text the PDF itself contains (and, with Premium, text recognized from scans). Words, lines, paragraphs, hyphens, numbers or characters may be missing, joined, split, out of order or changed, and text inside images is not copied without recognition. Compare the extracted text with the original before using it. The final check is yours. We bear no financial, reputational or other liability for missing, wrong or misordered extracted text.
- Signatures: the Service adds an image of your signature or initials to a document — on the pages and in the places you choose, or on every page in one click (Premium). Check that it appears on every page where it should and nowhere else. It is not a qualified or certified electronic signature. Whether it is valid or sufficient for a particular document, country or purpose, and how your signature is used, is your responsibility. The final check is yours. We bear no financial, reputational or other liability for the validity, acceptance or use of your signature.
- Page numbers and Bates numbering: numbers, prefixes and labels are added on top of each page and may cover or overlap existing text, headers, footers, stamps or other content. "Make room" shrinks or moves the page content to fit the numbers, which can change its size or position. Page labels set in the file may be shown differently, or ignored, by other PDF apps. When you number a set of files in one go (Premium), the numbers carry on from file to file in the order you set. You can download them either as separate files in a ZIP, with an index (a table listing the first and last number of each file), or as one combined PDF. Check the order of the files, the first and last number of every file and every page before using the result. Our Bates numbering is a numbering tool only: it is not certified pagination, does not create an audit trail and does not by itself meet the rules of any court, agency or e-discovery protocol. The final check is yours. We bear no financial, reputational or other liability for wrong, missing, duplicated or overlapping numbers, gaps or overlaps between files, content they cover or move, a wrong index, or a file or production being rejected because of them.
- Annotate PDF (highlights, notes and drawings): marks are added as standard PDF comments (annotations) on top of the page. They do not hide, remove or change the text or images underneath: anyone who has the file can still read, select and copy that content, and other PDF apps may show, hide, move, print or delete comments differently, or not show them at all. A highlight is not a redaction; to remove information, use Redact PDF and check the result. Marks are placed where the text appears on screen and may be slightly off on some PDFs, scans or unusual fonts. Comments you write are stored inside the file and can be read by anyone who has it. Check the saved file before you share, send or file it. The final check is yours. We bear no financial, reputational or other liability for marks or comments that are missing, misplaced or shown differently in other software, or for any information that remains visible or readable in an annotated file.
- PDF to Excel: the tool reads tables from the text of the PDF and guesses where rows and columns start and end. Rows or columns may be split, joined, shifted, missing or in the wrong order; numbers, dates, signs, decimal points, thousands separators and percentages may be read wrongly or turned into the wrong value or type; text inside images and scanned pages is not read. The spreadsheet, CSV file or text copied to the clipboard is not an exact copy of the original. Text you copy to the clipboard can be read by other apps on your device until you copy something else. Compare every figure with the original before you rely on it, calculate with it or send it. The final check is yours. We bear no financial, reputational or other liability for wrong, missing or misplaced values or for any decision, calculation, filing or report based on the spreadsheet.
- Password protection (Protect PDF): the password you set is never sent to us or stored by us. If you lose or forget it, nobody — including us — can recover it or open the file. Keep an unprotected copy of the original. The protection is only as strong as your password, and it does not protect a file that someone opens with the password, receives together with the password, or reaches or opens on a compromised device (for example, one infected with malware or otherwise hacked). Printing and copying restrictions are respected by most PDF apps but not all, and can be bypassed by anyone who can open the file; they are not a security measure. Some older or less common apps may not open encrypted files. Open the protected file once with your password before you rely on it. The final check is yours. We bear no financial, reputational or other liability for lost access to a file, for a file being opened by anyone who obtains, guesses or breaks the password, for restrictions being ignored, or for a protected file not opening in other software.
StayPutPDF and the guides on our website provide general information only and do not give legal, compliance, security or other professional advice. Using the Service does not by itself make you compliant with any law or regulation (such as HIPAA, GDPR or professional confidentiality rules).
No forensic or compliance guarantees. We do not provide forensic validation, cryptographic verification, audit reports, certified compliance logs or compliance certificates for the Service or for any individual file. Statements on our website about how the Service works (for example, that files are processed in your browser and are not sent to us) describe its design; they are not a certification, audit or warranty of compliance with any law, regulation or standard.
Liability for results is limited. Everything in this section is also subject to Section 11 (Limitation of liability): we are not liable for any indirect, incidental or consequential damages — including corporate fines, regulatory penalties, HIPAA or GDPR violations, or lost business or profits — arising from any result of the Service, whether in contract, tort (including negligence) or otherwise, and our total liability is capped at the price of one month of your plan (one twelfth of the yearly price for yearly plans, and US $9 for Lifetime), and is zero (US $0) on the free plan.
6. Free plan and licenses
Free plan. The free plan allows a limited number of pages per day across all tools (currently 15), as described on the website. We may change or end the free plan at any time.
Premium (personal). One license is for one person and may be activated on up to 3 devices.
Team plans. A Team license is for one organization and covers up to the number of people in the plan (5, 10 or 30), with up to 3 devices per person. The organization is responsible for who uses its key and for their actions. You can remove Premium from a device yourself in the app, which frees a place on the license; to free a device you no longer have, email us from the address used for the purchase.
License keys. Keep your license key safe; it is in your receipt email. The app checks your license online from time to time and may need an internet connection to do so. We grant you a limited, non-exclusive, non-transferable right to use the Service under your plan while these Terms are in effect. We may deactivate license keys that are shared, resold, obtained fraudulently, charged back or used in breach of these Terms.
7. Payments, renewals, cancellation and refunds
Prices are shown on the website and may change; a new price applies to renewals only after we tell you. Payments are processed by Lemon Squeezy, which acts as our reseller and Merchant of Record and handles billing, taxes, invoices and payment disputes; its terms also apply to your purchase.
Monthly and yearly plans renew automatically until cancelled. To cancel, click View Order in your Lemon Squeezy receipt email, open the plan under Subscriptions and choose Cancel subscription. Your plan stays active until the end of the period already paid for. Lifetime is a one-time payment with no renewals and is valid for as long as we offer the Service.
Refunds. You can request a full refund within 14 days of your first payment on any plan, and within 14 days of a yearly renewal. Monthly renewals are not refunded. After 14 days, payments are non-refundable except where the law requires otherwise. To request a refund, reply to your receipt email. A refunded license key is deactivated.
8. Availability, updates and changes
We do not promise that the Service will always be available, work without interruption, or work in every browser or on every device. It may be slow, unavailable or not work correctly at any time and for any reason — whether or not the cause could have been prevented — including maintenance, updates, bugs, outages of our hosting or other providers, attacks, or events described in section 12.
We are not responsible for any consequences of the Service being unavailable or not working, including missed deadlines (for example court, tax or contract deadlines), lost opportunities, or being unable to submit, sign or send a document, or to exercise or protect your legal rights or meet your obligations. Do not rely on the Service as your only way to meet a deadline; keep another way to do the task.
We may add, change or remove features, tools, limits and supported file types at any time. An installed or offline copy of the app may be out of date until it reconnects and updates.
9. Third-party services
The Service relies on third parties, including Lemon Squeezy (payments and licenses), PostHog (privacy-friendly usage analytics), Web3Forms (contact form), our hosting provider, content delivery networks and open-source libraries. Their services are governed by their own terms, and we are not responsible for them, their availability or their errors. See our Privacy Policy for what data is involved.
10. No warranty
The Service is provided "as is" and "as available", with all faults and without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, security, availability, and uninterrupted or error-free operation. You use the Service at your own risk.
11. Limitation of liability
You use the Service at your own risk. StayPutPDF and its owners are not responsible, financially or in any other way, for:
- any information that is disclosed, leaked or exposed — including information you did not redact, that remained visible because you did not check the result, or that someone recovers from a redacted or edited file by any technical, forensic or other means;
- what happens to a file after you download, send, upload or share it;
- loss or damage of files or data while using any feature of the Service, including data saved on your device;
- any use or misuse of your signature, initials or saved details — by you or by anyone else — and any document signed or filled with them;
- incorrect, incomplete or altered results, including missing or lost pages or content, OCR errors and unrecognized words or languages;
- the Service being unavailable, slow or not working, and any missed deadline or right you could not exercise as a result;
- problems caused by your device, browser, extensions, malware or network;
- lost profits, revenue, clients, business, reputation or confidentiality, and any indirect, incidental, special, consequential or punitive damages.
Free plan: if you have not paid us, we have no liability to you at all. Paid plans: our total liability for all claims together is limited to one month of your plan's price — for yearly plans, one twelfth of the yearly price; for Lifetime, US $9.
In no event shall StayPutPDF, its owners, developers, or affiliates be liable for any indirect, incidental, or consequential damages (including corporate fines, regulatory penalties, HIPAA/GDPR violations, or loss of business profits). Our total aggregate liability for any claims arising out of or related to the Service, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the price of one (1) month of your plan — one twelfth (1/12) of the yearly price for yearly plans, and US $9 for Lifetime — and shall be zero (US $0) if you use the free plan.
These limits apply even if we were told that such damage was possible.
12. Security incidents and events beyond our control
We take reasonable care to keep the Service safe, but no software or website is completely secure. StayPutPDF and its owners bear no liability for any financial, moral, reputational or other loss or harm caused by:
- hacking, malware or unauthorized access to your device, browser, accounts, email or network;
- attacks on, misuse of, or tampering with the Service, our website, hosting or domain by third parties, including malicious code inserted by someone else;
- failures, breaches or outages of third-party services we rely on, such as our hosting provider, content networks, open-source libraries, Lemon Squeezy, PostHog or Web3Forms;
- defects, vulnerabilities, errors or malicious code in open-source or third-party components used by the Service — such as software libraries, the text-recognition (OCR) engine and its language data, and fonts — including when a component is outdated, has not been updated, is compromised or tampered with (for example through a supply-chain attack or an altered copy served by a content network), or becomes harmful;
- other people abusing the Service, impersonating us or copying our website;
- events beyond our reasonable control (force majeure), such as power or internet failures, natural disasters including earthquakes and floods, epidemics, war, unrest, government action or large-scale cyber-attacks.
Because your files are processed on your device and never sent to us, a security incident on our side cannot expose the contents of files you processed.
13. Indemnity (claims by other people)
If someone else — for example your client, a person named in your document, or a rights holder — makes a claim against StayPutPDF or its owners because of your files, your use of the Service, or your breach of these Terms, you agree to defend, indemnify and hold harmless StayPutPDF and its owners from and against all resulting claims, losses, damages, liabilities and costs, including full legal fees and court costs.
We will tell you about such a claim within a reasonable time. We may choose our own lawyers, at your cost, and take part in the defence. You may not settle any claim in a way that admits fault on our behalf or creates obligations for us without our written consent.
14. Intellectual property and feedback
Your files remain yours; we claim no rights to them. The Service, its code, design, name and logo belong to StayPutPDF and are protected by law. Open-source libraries used in the Service are licensed under their own terms. If you send us ideas or feedback, we may use them freely without any obligation to you.
15. Changes, suspension and termination
We may change, suspend or discontinue any part of the Service. We may suspend or terminate your access or license if you breach these Terms. You can stop using the Service at any time. Sections 2, 3, 5 and 8 to 17 survive termination.
We may update these Terms. We will post the new version here with a new date; for material changes affecting paid plans we will give reasonable notice where required. Continuing to use the Service after changes take effect means you accept them.
16. Governing law and disputes
These Terms and your use of the Service are governed by, and construed in accordance with, the laws of the Republic of Kazakhstan, without regard to conflict-of-law rules. Any legal action, suit or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in the competent courts of Almaty, Kazakhstan, and you irrevocably consent to the personal jurisdiction of those courts. You must tell us about any problem in writing within the first 30 days after it appeared, describing what happened and which tool and file were involved, so we can check what happened while the details are still clear. If you do not tell us within those first 30 days, you accept the result as it is, and we have no obligation to investigate, fix, refund or compensate you for that problem. Telling us in time does not create any warranty or obligation beyond these Terms: the Service is still provided "as is" and "as available", with all faults and without warranties of any kind, and sections 10 and 11 still apply. In any case, the most we will ever pay you is the price of one month of your plan (one twelfth of the yearly price for yearly plans, US $9 for Lifetime, and nothing on the free plan). Before starting a dispute, please contact us so we can try to resolve it informally. Any claim must be brought within one year after it arose and on an individual basis, not as part of a class or group action. A claim that is not brought within that year is permanently barred and has no force.
Proof of a software error. Because StayPutPDF processes files only on your device and keeps no records or copies of them, we cannot see what happened on your device. To make any claim that the Service caused an error, you must show it: provide the exact steps, the date and time, your browser and device, any error messages or browser console logs, and the resulting file, plus a sample file (with confidential details removed) that reproduces the problem. We may reject claims that cannot be verified this way, and claims based on files that were changed after leaving the Service.
17. General
These Terms, together with the Privacy Policy and the terms shown at checkout, are the entire agreement between you and us about the Service. In buying a license or using the Service, you have not relied on any statement, promise or description that is not set out in these Terms — including anything on our website, in our guides, emails or marketing, or from any other person. If any part of these Terms can't be enforced as written, it applies to the maximum extent the law allows, and the rest stays in effect. Nothing in these Terms limits rights you have under mandatory law that cannot be waived. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours, for example if the Service is sold. If these Terms are translated, the English version prevails.
